David Kolodny is a seasoned, energetic, creative and thoughtful finance, M&A and general corporate lawyer who has practiced law for over 35 years. David has been a partner at large and medium-sized New York law firms and worked extensively representing private companies, private equity portfolio companies and other parties primarily in connection with middle and smaller market business and asset sales and purchases, investment transactions, secured and other debt financings, equity and convertible financings, investment transactions, general corporate matters and interest rate derivative transactions. David is a business-minded lawyer who understands the financial aspects of transactions and provides strategic advice to and partners with his clients to help them achieve their business goals.
David has represented parties across a broad variety of industries, including medical device and lifestyle product manufacturers, distributors and retailers, other product manufacturers, staffing companies, automobile lessors, investment managers, beverage product manufacturers, processors and distributors, hedge funds, financing sources and real estate businesses.
Matters David has worked on:
- Served as a counsel, for over a decade, to a leading global manufacturer of medical devices and other health care products, representing that company in numerous asset and stock acquisitions and sales (including cross border transactions), several rounds of private equity preferred stock and subordinated debt financings, numerous senior secured debt financings, vendor finance and customer secured financings, interest rate swaps and various contract negotiations. Supervised subject matter experts and local counsel, as applicable, in connection with contract, employment, real estate and compliance issues.
- Represented an NYSE-listed global company in connection with acquisition transactions involving companies engaged in consumer goods businesses in the U.S. and various foreign jurisdictions.
- Represented, for over a decade, a fire sprinkler manufacturer with foreign subsidiaries in connection with a private equity common stock financing, numerous senior secured financings and general corporate matters.
- Represented numerous asset-based lenders and borrowers in connection with inventory and accounts receivable financings.
- Represented numerous borrowers in cash flow and various other types of secured loan transactions.
